Article III: Governance

Solarii Exocaelum Security shall be governed by a board of directors, comprised of no less than three and no more than seven members. The board of directors shall elect a chief executive officer, who shall be responsible for the day-to-day management of the company. The CEO shall have the authority to make operational decisions and appoint key personnel, subject to the approval of the board of directors.

Article V: Amendments

This charter may be amended at any time by the board of directors, subject to a two-thirds majority vote. Any proposed amendments shall be submitted to the board of directors in writing, and shall be reviewed and voted upon at the next regularly scheduled meeting of the board.
